Oversea Company Formation (Seychelles)
Advantage of Seychelles Company:
i. |
Tax and filing procedure is not required. |
ii. |
Only ONE shareholder and director is required. |
iii. |
Corporate shareholder and director is allowed. |
iv. |
Minimum share capital subscribed shall be US$1.00. |
v. |
Preparation of Financial Statements or appointment of Auditors are not mandatory required. |
vi. |
Totally exempted from Seychelles income tax and stamp duties (if no business in Seychelles). |
Formation Requirement:
i. |
Minimum ONE shareholder and ONE director. (They can be the same person or corporation). |
ii. |
The minimum subscribed share capital shall be US$1.00 only. |
iii. |
Registered address in Seychelles. |
iv. |
Registered agent in Seychelles. |
v. |
Correspondence address in Hong Kong. |
Procedures (Tailor-Made Company):
i. |
The client should fill in and submit to us the Application Form for the details of company name, shareholder(s), director(s), and registered agent. |
ii. |
After we confirm that the company name can be used, we will send the documents to you by email. |
iii. |
The client will sign the documents and then return back to us for processing (usually by fax or email followed by mail). |
iv. |
Upon receiving the Payment, the documents will be processed. |
v. |
Normally the process will be completed and the Certificate of Incorporation will be available in 8 to 10 working days. We will send the client a copy of the Certificate of Incorporation by email and the company can start its business operations. |
Procedure (Ready-Made Company):
i. |
The client should select a name from the Ready-Made Company List. |
ii. |
The client should fill in and submit to us the Application Form for the details of company name, shareholder(s), director(s), and registered agent. |
iii. |
After we confirm that the company name can be used, we will send the documents to you by email. |
iv. |
The client will sign the documents and then return back to us for processing (usually by fax or email followed by mail). |
v. |
Upon receiving the Payment, the documents will be processed. |
vi. |
Normally the process will be completed in 3 to 5 working days. We will send the client a copy of the Certificate of Incorporation by email and the company can start its business operations. |

For Tailor made company, For Ready-Made Company (Shelf Company), |
ii. |
Detail of Shareholder(s) including: Copy of Valid Passport; |
iii. |
Detail of Director(s) including: Copy of Valid Passport; and |
iv. |
Detail of Registered Agent including: Copy of Valid Passport (or Certificate of Incorporation for a corporation);and We strongly recommend that we are appointed as Registered Agent for ensuring the company complies with all Regulations and Rules. |

Maintenance requirements:
Renewal of License in BVI and payment of BVI Government fee annually. We will remind our client to assist and ensure that the renewal is done before the deadline.
